Amendments to Articles of Association

This service enables investor to modify the articles of association of their companies by altering or amending any provisions therein, ensuring compliance with the newly enacted companies law.

The existence of a valid commercial registration.
The existence of an investment license if the company is foreign or mixed.
The existence of an extraordinary association or shareholders' decision when the company's entity is (Joint Stock, or a Simplified Joint Stock).
The company must not be suspended by the following entities:
Ministry of Commerce.
Zakat, Tax and Customs Authority for the second and third levels.
The following must be verified when the type of the company is (professional):
The Quorum must be taken into consideration, in the case of the amendment of the (Board of Managers).
The partner must be authorized, in the case of the amendment adding a professional partner.
The following must be verified when the company's entity is (Limited Liability, Limited Partnership, or Partnership):
If the activity requires prior approval, it must be taken by the Saudi Central Bank.
The investment license must be amended, if required.
The managers must not be a government employee.
